EduNeuron is designed for healthcare professionals, medical students, researchers, educators, and qualified individuals.

• Be at least 18 years old.
• Provide accurate registration information.
• Not be prohibited under applicable law.

Edneuron reserves the right to verify your eligibility credentials at any time and to suspend or terminate access if verification cannot be confirmed. Certain premium content and CME (Continuing Medical Education) credits may require additional credential verification.

Subject to these Terms, Edneuron grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your personal, non-commercial educational and professional development purposes.

Permitted activities include:

• Accessing and reading published research articles, clinical guidelines, and educational content.
• Participating in live and on-demand webinars and CME programs.
• Using platform tools for personal note-taking and bookmarking.
• Sharing content through platform-provided sharing features with proper attribution.

You agree not to:

• Copy, reproduce, distribute, or create derivative works without explicit written permission.
• Use automated systems, bots, scrapers, or data mining tools to access content.
• Circumvent or attempt to circumvent any access controls or digital rights management.
• Use the platform for commercial purposes without a valid enterprise license agreement.
• Upload, transmit, or share content that is misleading, defamatory, or violates any applicable law.

All content, materials, technology, and intellectual property on the Edneuron platform — including but not limited to articles, videos, illustrations, data visualizations, CME curricula, software, trademarks, logos, and service marks — are owned by or licensed to Edneuron and are protected by applicable intellectual property laws worldwide.

Edneuron's trademarks, including the Edneuron name and logo, may not be used in connection with any product or service without prior written consent.

Third-party content published on the platform may be subject to additional copyright protections by the respective rights holders. Edneuron licenses such content for display purposes only; no transfer of intellectual property rights in third-party content is made to you.

For academic citation or limited fair-use purposes permitted by applicable law, you may reference individual pieces of content with full attribution. Requests for broader licensing rights should be directed to support@edneuron.com.

When you submit content, comments, feedback, case studies, research contributions, or other materials to the Edneuron platform ("User Content"), you grant Edneuron a worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, modify, adapt, publish, distribute, and display such User Content in connection with our services.

You represent and warrant that:

• You have the right to submit the User Content and grant the foregoing license.
• The User Content does not infringe any third party intellectual property rights.
• The User Content does not contain patient-identifiable information or violate HIPAA or applicable privacy laws.
• The User Content is accurate and does not constitute medical misinformation.

Edneuron reserves the right to review, edit, or remove any User Content that violates these Terms, our Community Guidelines, or applicable professional standards. We maintain an editorial review process for all clinical content contributed to our platform.

The Edneuron platform may contain links to third-party websites, databases, journals, clinical decision support tools, and other external resources. These links are provided for informational purposes only and do not constitute an endorsement or approval of the linked site or its content.

Edneuron has no control over, and assumes no responsibility for, the content, privacy policies, or practices of third-party websites or services. We encourage you to review the privacy policies and terms of service of any third-party sites you visit.

Certain platform features may integrate with third-party services such as:

• Medical reference databases (e.g., PubMed, ClinicalTrials.gov).
• CME accreditation partners.
• Medical society integrations.
• Institutional single sign-on providers.

Your use of integrated third-party services is subject to those services' respective terms and policies. Edneuron is not liable for any issues arising from your use of third-party services.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong, unique password and update it regularly.
• Not share your account credentials with any other person or entity.
• Immediately notify Edneuron of any unauthorized use of your account or any other security breach at security@edneuron.com.
• Log out of your account at the end of each session, especially when using shared devices.

Edneuron employs industry-standard security measures including AES-256 encryption for data at rest, TLS 1.3 for data in transit, multi-factor authentication (MFA), SOC 2 Type II compliance, and regular third-party security audits.

Institutional accounts may be governed by additional security policies established by your organization. Edneuron will not be liable for any loss or damage arising from your failure to comply with these security requirements.

Either party may terminate this agreement at any time. You may terminate your account by contacting support@edneuron.com or through your account settings. Edneuron may suspend or terminate your access immediately, without prior notice, if:

• You breach any provision of these Terms.
• Your conduct poses a risk to other users, the platform, or Edneuron's reputation.
• Required by applicable law or regulatory authority.
• You provide false or misleading information during registration or credential verification.

Upon termination:

• Your right to access the platform and its content immediately ceases.
• Edneuron may delete your account data in accordance with our Privacy Policy and data retention schedule.
• Any outstanding payment obligations remain due and payable.
• Provisions of these Terms that by their nature should survive termination will continue in effect.

Edneuron will make reasonable efforts to provide advance notice of termination except where doing so would be impractical or legally prohibited.

To The Maximum Extent Permitted By Applicable Law, Edneuron, Including Its Affiliates, Officers, Directors, Employees, Agents, Suppliers, And Licensors, Shall Not Be Liable For Any Indirect, Incidental, Special, Consequential, Punitive, Or Exemplary Damages.

Important disclaimers specific to healthcare education:

• Content on Edneuron is provided for educational purposes only and does not constitute medical advice, diagnosis, or treatment recommendations.
• Clinical information should be verified with current guidelines and adapted to individual patient circumstances by qualified healthcare professionals.
• Edneuron does not guarantee that educational content reflects the most current clinical evidence at all times.

In no event shall Edneuron's total cumulative liability to you exceed the greater of: (a) the amount paid to Edneuron in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow limitations on implied warranties or exclusion of incidental damages, so the above limitations may not apply to you.

Edneuron reserves the right to modify, suspend, or discontinue any aspect of the platform or these Terms at any time, with or without notice, at our sole discretion.

Material changes to these Terms will be communicated through:

• Email notification to your registered email address.
• Prominent in-platform notification banners.
• Updated "Last Modified" date at the top of this page.

Your continued use of the platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use of the platform and may request account termination.

Edneuron may also modify, add, or remove platform features as part of our ongoing development and improvement process. We may introduce new premium features, adjust CME accreditation partnerships, update content licensing arrangements, or make other changes to enhance the educational experience.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute resolution:

• You agree to first attempt to resolve any dispute informally by contacting legal@edneuron.com.
• If informal resolution fails within 30 days, disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules.
• Arbitration shall be conducted in English in Wilmington, Delaware, or via video conference by mutual agreement.
• You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use or disclosure of intellectual property.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
